Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Snavigo website, application, and services (collectively, the "Service") provided by Snavigo (operated by [Your Legal Entity Name], "Snavigo", "we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.


2. Accounts

2.1 Account creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2.2 Account security

Notify us immediately at security@snavigo.com if you suspect unauthorized access to your account.

2.3 Multiple accounts

You may not create multiple accounts to evade rate limits, restrictions, or to abuse free trials.


3. The Service

3.1 What we provide

Snavigo helps B2B teams monitor public sources for buying signals, identify relevant decision-makers via third-party enrichment, and generate AI-assisted outreach drafts.

3.2 Beta features

We may offer features marked as "beta," "preview," or "experimental." These are provided as-is, may change or be removed without notice, and may not have the same reliability as generally available features.

3.3 Modifications

We may modify, suspend, or discontinue any part of the Service at any time. For material reductions in functionality affecting paid plans, we will provide reasonable advance notice.


4. Acceptable use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable law (including anti-spam laws, data protection laws, and export controls)
  • Send unsolicited bulk communications ("spam") in violation of laws such as CAN-SPAM, GDPR, CASL, or similar regulations
  • Use the Service to harvest, scrape, or collect data for purposes prohibited by these Terms or applicable law
  • Misrepresent your identity or affiliation when sending outreach generated through the Service
  • Send messages that are harassing, defamatory, deceptive, or otherwise harmful
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Reverse-engineer, decompile, or disassemble the Service (except to the extent expressly permitted by law)
  • Use the Service to compete with Snavigo or to build a competing product
  • Resell, sublicense, or redistribute the Service without our written agreement
  • Use automated means to access the Service in ways that exceed reasonable use or our published rate limits
  • Upload or process data you do not have the legal right to process

You are solely responsible for the contact data you import into Snavigo and for ensuring you have a lawful basis to process it (consent, legitimate interest, or otherwise) under applicable law.


5. AI-generated content

5.1 Drafts, not final messages

The Service generates draft outreach messages using AI. All drafts require human review and approval before being sent. We do not send messages automatically on your behalf.

5.2 Accuracy

AI-generated content may contain inaccuracies, fabricated details, or content that does not match your intent. You are responsible for reviewing all drafts before use.

5.3 Ownership of AI output

As between you and Snavigo, you own the AI-generated drafts produced for your workspace, subject to the underlying terms of the AI provider (Anthropic). You are responsible for ensuring such use complies with applicable law and any third-party rights.


6. Customer data

6.1 Ownership

You retain all rights to the data you provide to or generate within the Service ("Customer Data"). We claim no ownership over Customer Data.

6.2 License to operate the Service

You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and use Customer Data solely to provide and improve the Service for you, and to comply with legal obligations.

6.3 Data processing

Our processing of personal data within Customer Data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement (DPA). Where we process personal data on your behalf, you are the Data Controller and Snavigo is the Data Processor.

6.4 Data export and deletion

You may export your data at any time via in-product tools or by request. Upon account termination, we will delete Customer Data within 30 days, subject to backup retention cycles and any legal retention obligations.


7. Third-party services

The Service integrates with third-party providers (e.g., Anthropic, Apollo, NewsAPI, Supabase). Your use of those providers' data and outputs is subject to their respective terms and privacy policies. We are not responsible for third-party services' availability, accuracy, or practices.


8. Fees and payment

8.1 Paid plans

Certain features require a paid subscription. Pricing and billing terms are described at the time of purchase.

8.2 Billing

Subscription fees are charged in advance on a recurring basis (monthly or annual). All fees are non-refundable except where required by law or expressly stated.

8.3 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes other than taxes on our net income.

8.4 Late payment

Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. We may suspend Service access for non-payment after reasonable notice.

8.5 Changes to pricing

We may change pricing for future billing cycles with at least 30 days' notice. Continued use of the Service after the change constitutes acceptance.


9. Term and termination

9.1 Term

These Terms apply from the date you first access the Service and continue until your account is terminated.

9.2 Termination by you

You may terminate your account at any time via in-product settings or by emailing support@snavigo.com.

9.3 Termination by us

We may suspend or terminate your account immediately for:

  • Material breach of these Terms
  • Activity we reasonably believe violates law
  • Risk to the security or integrity of the Service
  • Non-payment

For other reasons, we will provide reasonable notice.

9.4 Effect of termination

Upon termination, your access to the Service ends. Provisions that by nature should survive (including Sections 4, 6, 11, 12, 13, 14, 15, 16, 17, and 18) will survive termination.


10. Intellectual property

10.1 Snavigo IP

The Service, including its software, design, content, trademarks, and documentation, is owned by Snavigo and protected by intellectual property laws. Except for the limited rights granted to you, we reserve all rights.

10.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide license to use them without restriction or compensation.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR FREE OF BIAS
  • BUYING SIGNALS OR CONTACT DATA WILL BE ACCURATE OR CURRENT
  • THE SERVICE WILL ACHIEVE ANY PARTICULAR BUSINESS OUTCOME

You use the Service at your own risk.


12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT WILL SNAVIGO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
  • SNAVIGO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO SNAVIGO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.


13. Indemnification

You agree to indemnify, defend, and hold harmless Snavigo and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of applicable law
  • Your Customer Data, including any claim that it infringes third-party rights or was processed without lawful basis
  • Outreach you send using drafts generated through the Service

14. Governing law and disputes

These Terms are governed by the laws of [Country / State], excluding its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of [City, Country], and you consent to personal jurisdiction there.

If you are a consumer resident in the EU, this clause does not affect your right to bring proceedings in your country of residence.


15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email or in-product notification at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.


16. General

16.1 Entire agreement

These Terms, together with the Privacy Policy and any other agreements referenced (including any DPA or order form), constitute the entire agreement between you and Snavigo.

16.2 Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

16.3 No waiver

Our failure to enforce any provision is not a waiver of that provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, war, internet outages, government action).

16.6 Notices

We may send notices to the email address associated with your account. You may send notices to legal@snavigo.com.

16.7 Independent contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
